LLC Cost Lab

How much does an LLC really cost? Filing fees are just the cover page. This lab opens the full file: 50-state + DC fee schedules, 1/5/10-year total cost of ownership, the cheapest states ranked, the Delaware/Wyoming foreign-qualification trap, publication costs, and franchise taxes — all computed live in your browser.

⚠ Read before you file: every figure here is an educational estimate from published state fee schedules — not legal or tax advice. Fees change (Delaware raised its LLC tax in 2026; Georgia changed its schedule in 2025). Always verify the current fee with your Secretary of State, and consult a licensed attorney or CPA for your situation.

State Fee Explorer — all 50 states + DC

Formation fee, recurring report, franchise or minimum tax, and publication requirement for every jurisdiction. Search or sort to find your state.

Total Cost of Ownership Calculator

The filing fee is the cover page — this is the whole file. Pick a state and a horizon; the lab adds formation, reports, franchise taxes, publication and your registered-agent choice.

Cheapest-State Ranker

Ranked by honest total state cost — not just the filing fee. Publication (where mandatory) and biennial reports included; registered agent excluded so states compare apples-to-apples.

Out-of-State Advisor — the foreign-qualification trap

Forming in Delaware, Wyoming or Nevada while doing business in your home state means registering as a foreign LLC at home too — paying formation and annual fees in two states. Pick a pair and see the real math.

Publication Cost Estimator

Three states still make you publish in newspapers. New York's bill depends entirely on your county — pick it for a 2026 estimate.

Franchise & Minimum Tax Module

The taxes that hide outside the filing-fee tables — flat annual charges your LLC owes for merely existing, on top of reports.

LLC vs Sole Proprietorship

Cost is only half the question — the other half is liability and tax flexibility. Here's the honest side-by-side for your state.

Methodology & data sources

  • Fee database: all 51 jurisdictions' formation fees, recurring reports and franchise taxes compiled from businessanywhere.io LLC Cost by State (re-verified against each state's filing office, September 2026), cross-checked with llcuniversity.com, clearlegaltips.com (July 2026), vermilionvitez.com, bizreport.com and onlinellcguide.com.
  • Official schedules used directly: Georgia Secretary of State Corporations Division fee schedule (effective Sep 6, 2025: $110 formation, $60 annual registration); Delaware House Bill 400 (LLC annual tax $300 → $400 effective Jan 1, 2026 — most sites still show the old $300).
  • Conflicting sources are flagged in the table with ⚠ and modeled on the majority of recent sources: Virginia $50/yr (not $25), Kansas $160/$50 (one source claims a 2026 reduction — unverified), Nebraska biennial $25/2yrs. Verify these with the Secretary of State.
  • TCO math: formation + annual reports + franchise/minimum tax each year; biennial reports counted in the years they fall due (years 2, 4, 6…); publication added where legally required (NY default ~$800 + $50 certificate; AZ/NE ~$150 — adjustable in spirit, estimates by county in the Publication tab); registered agent optional ($0 self / $50–$300 commercial).
  • What is NOT included: business licenses, local permits, sales/employment/income taxes, expedited filing fees, or formation-service upsells. Foreign-qualification fees are indicative — confirm with each Secretary of State.
  • Freshness: fee data verified Sep–Oct 2026. States change fees (recent examples: DE 2026, GA 2025, IL 2017, PA annual report from 2025) — treat every number as an estimate and verify before filing.
